Terms of Service
Sphior Ledger for Jira
These Terms of Service ("Terms") govern your use of Sphior Ledger for Jira (the "App"), published by Sphior ("we", "us", "our") and distributed via the Atlassian Marketplace. By installing or using the App, you ("Customer") agree to these Terms.
1. Subscription and Billing
The App is sold as a paid subscription through the Atlassian Marketplace under Atlassian's "Paid via Atlassian" program. Billing, taxes, refunds, and dispute resolution for the subscription fee are handled by Atlassian under Atlassian's Marketplace Terms of Use, which take precedence over these Terms in the event of conflict. Edition tiers (e.g., Standard, Advanced) and their pricing are listed on the App's Marketplace listing page.
2. License Grant
Subject to your compliance with these Terms and timely payment of all subscription fees through Atlassian, we grant you a non-exclusive, non-transferable, worldwide license during the subscription period to: install and run the App in your Jira Cloud instances for which a valid subscription is active; use the features made available by your active edition.
3. Permitted Use
You may use the App for any lawful business purpose. You retain ownership of all configuration data, snapshots, diffs, evidence packs, and audit records generated by the App ("Customer Data").
4. Restrictions
You may not: decompile, reverse-engineer, or attempt to derive source code from the App except to the extent permitted by applicable law; use the App to violate any third party's rights or applicable law; resell, sublicense, or redistribute the App; misrepresent the tamper-evidence claims of the App to a regulator, auditor, or court without independent verification of the underlying hash chain.
5. Customer Data
You retain all rights to your Customer Data. We do not access, copy, or export your Customer Data; all data resides in Forge Storage inside your Atlassian tenant. See our Privacy Policy at https://ledger.sphior.com/privacy for details.
6. Service Availability
The App's availability depends on the availability of Atlassian Forge infrastructure. We do not control and are not responsible for Atlassian platform outages. We endeavour to make reasonable efforts to repair App-specific defects through Marketplace updates.
7. Support
Customer support is provided via email at support@sphior.com on a best-effort basis during normal business hours (JST). For Severity 1 incidents (App entirely unavailable in production), we target an initial response within 1 business day.
8. Warranty Disclaimer
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF THE TAMPER-EVIDENCE LEDGER FOR ANY SPECIFIC REGULATORY OR LEGAL PURPOSE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO ATLASSIAN FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify and hold us harmless from any claim arising from your use of the App in violation of these Terms or applicable law.
11. Term and Termination
These Terms remain in effect for as long as your Marketplace subscription is active. Upon termination or expiry of the subscription, your license under Section 2 ends and Atlassian will uninstall the App according to its standard lifecycle, deleting all Forge Storage data associated with the installation. Sections 4, 5, 8, 9, 10, 12, and 13 survive termination.
12. Governing Law
These Terms are governed by the laws of Japan, without regard to its conflict of law provisions. Disputes shall be resolved exclusively in the courts of Tokyo, Japan, except where Atlassian Marketplace Terms of Use specify otherwise.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in the App's Marketplace listing. Continued use of the App after the effective date constitutes acceptance.
